Terms and Conditions for Voicely

1. Acceptance of Terms

By accessing and using Voicely (the "Service"), provided by Fourteen Souls Pvt Ltd. ("we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Voicely allows users to upload PDF documents and convert them into audio files using artificial intelligence (AI) voice generation technology. Users can manage their uploaded documents and generated audio files through their account.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct and Content

You are solely responsible for the PDF documents you upload ("User Content"). You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process your User Content through the Service and that your User Content does not infringe upon the intellectual property rights or privacy rights of any third party, nor does it contain any unlawful, harmful, or malicious material.

You agree not to use the Service to:

  • Upload or process any content that is illegal, defamatory, infringing, obscene, or harmful.
  • Violate any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right, but are not obligated, to review and remove any User Content that violates these Terms.

5. Pricing and Payment (Future Implementation)

While the Service may be offered for free during an initial period, we plan to implement a pricing model based on usage, likely calculated by the number of characters or words processed per PDF document ("Usage-Based Pricing").

Specific pricing details, payment terms, and billing cycles will be provided when Usage-Based Pricing is implemented. You will be notified in advance of any changes to the pricing structure. Failure to pay applicable fees may result in suspension or termination of your access to paid features.

6. Intellectual Property

Your Content: You retain all ownership rights to your original User Content (the uploaded PDFs). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify (for technical purposes like formatting), process, and distribute the User Content solely for the purpose of providing and improving the Service.

Generated Audio: Subject to your compliance with these Terms and payment of any applicable fees, we grant you a license to use the audio files generated from your User Content for your personal or internal business purposes. You may not resell or redistribute the generated audio files as a standalone product without our express permission.

Our Service: All rights, title, and interest in and to the Service itself (including its software, design, text, graphics, logos, and underlying technology, excluding User Content and generated audio) are and will remain the exclusive property of Voicely and its licensors.

7. Third-Party Services (e.g., AI Providers)

The Service utilizes third-party AI technologies (e.g., for voice generation). Your use of the Service constitutes your agreement to the terms and privacy policies of these third-party providers to the extent they are applicable to the processing of your User Content.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT THE GENERATED AUDIO WILL BE ACCURATE OR MEET YOUR REQUIREMENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOICELY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING GENERATED AUDIO; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

10. Indemnification

You agree to defend, indemnify, and hold harmless Voicely and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content uploaded to the Service.

11. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.
